Terms of Service

By using our websites, software, hardware, and related services (“Services”), you agree to these Terms. If you accept on behalf of an organization, you represent you have authority to bind it.

1) Services

  • Robotics-as-a-service may include hardware, firmware/software, connectivity, field ops.
  • Deliverables, SLAs, and pricing appear in order forms/SOWs (“Order Documents”).
  • Unless expressly transferred, hardware title remains with us.

2) Access & Acceptable Use

  • Comply with law, environmental/port rules, permits, and safety procedures.
  • No reverse-engineering, tampering, or operation in restricted zones without approvals.
  • Provide safe access, local permissions, power/connectivity (if not included), qualified staff.

3) Customer Data & Telemetry

  • You own your data; you grant us a limited license to operate and improve the service.
  • If images/video are captured, you will provide appropriate notices/permissions.
  • No selling data or ad use; processing is subject to our Privacy Policy/DPA.

4) Fees, Invoicing & Taxes

  • Fees per Order Documents; invoices net-30 unless stated otherwise.
  • Late amounts may incur interest and/or suspension after notice.
  • Fees exclude taxes; you’re responsible for applicable taxes/duties.

5) Term & Termination

  • Term per Order Documents; either party may terminate for uncured material breach (30 days).
  • Upon termination: return our hardware and pay undisputed amounts due.
  • Payment, IP, confidentiality, limitations, indemnities survive termination.

6) IP & Feedback

  • We retain rights in hardware, firmware/software, designs, and documentation.
  • Feedback may be used to improve the Services without obligation.

7) Confidentiality

Each party protects the other’s confidential info with reasonable care and uses it only to perform under these Terms.

8) Warranties & Disclaimers

  • Services provided professionally and workmanlike, consistent with industry practice.
  • Otherwise “AS IS”; no implied warranties of merchantability/fitness/non-infringement.
  • Field robotics has environmental/regulatory risks; you must meet local requirements.

9) Liability

  • No indirect/special/consequential damages or lost profits to the max extent allowed.
  • Total liability capped at fees paid/payable in the prior 12 months, except typical carve-outs (e.g., IP indemnity, willful misconduct, certain data breaches, payment obligations).

10) Indemnification

  • We indemnify for third-party IP claims per customary conditions.
  • You indemnify for misuse, unlawful operation, your data/content, and missing permits.

11) Compliance

  • Each party complies with export/sanctions/anti-corruption and maritime rules.
  • Customer maintains on-site safety and insurance for operations under its control.

12) Governing Law; Disputes

Governed by [Governing Law]; exclusive venue in [Venue]. CISG does not apply.

13) Changes; Precedence

We may update these Terms. For paying customers, material adverse changes won’t apply mid-term unless agreed. If there’s a conflict, Order Documents control.

14) Notices

Notices must be in writing and sent to the official addresses in the Order Documents or as updated by either party.
